Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you (or the company you represent, “Customer”) and Gridline Operations LLC (“GridLine,” “we,” “us”) governing your access to and use of gridlineoperations.com and the GridLine Operations platform (the “Service”). By creating an account or clicking “Create account,” you accept these Terms and our Privacy Policy.
1. The Service
GridLine provides a cloud-based construction operations platform including project management, daily reports, drawings and RFIs, budgets and change orders, drone and photo intelligence, an AI copilot, and GridLine University. Features, pricing, and availability may change over time; material changes to paid features will be communicated to account admins.
2. Accounts & eligibility
- You must be 18 or older and authorized to bind the company you represent.
- You are responsible for the security of your credentials and for all activity in your account.
- Company admins are responsible for the actions of their invited users.
3. Subscriptions, 30-Day Pilot & automatic billing
30-Day GridLine Pilot. New paid subscriptions begin with a 30-day pilot at no charge. When you start a pilot you must select a plan (Starter $99/mo, Professional $249/mo, or Business $599/mo) and provide a valid payment method.
Automatic conversion. Your selected plan will automatically begin billing at the published monthly rate at the end of the 30-day pilot unless you cancel before the pilot ends. Subscriptions renew monthly on the same date until canceled. Prices are in US Dollars and exclude applicable taxes.
Plan changes. Upgrades take effect immediately with a pro-rated charge for the remainder of the billing period. Downgrades take effect at the end of the current period.
Payment. Billing is processed by Stripe, Inc. under Stripe’s own terms. Failed payments may result in a grace period followed by suspension of paid features.
4. Cancellation & refunds
- You may cancel your subscription at any time from Billing → Manage subscription or by emailing us.
- Cancellations during the 30-Day Pilot take effect immediately and no charge is incurred.
- Cancellations after the pilot take effect at the end of the current billing period; you retain access until that date.
- All fees are non-refundable, including partial-month charges and unused seat licenses, except where required by law.
- If you believe you were billed in error, contact us within 30 days and we will investigate.
5. Customer data & license
You retain all ownership of data you or your users upload (photos, drawings, RFIs, financial records, reports, etc.). You grant GridLine a limited, worldwide, royalty-free license to host, store, transmit, back up, and display your content solely to provide the Service to you. See our Privacy Policy for retention and deletion.
6. Acceptable use
You will not, and will not permit others to:
- Upload content that infringes third-party rights, is unlawful, defamatory, or harassing.
- Upload malware, or attempt to breach, disable, or overload the Service.
- Reverse engineer, scrape, or resell the Service without written permission.
- Use the Service to make safety-of-life or medical decisions, or as the sole system of record where regulation requires otherwise.
- Use AI features to generate content that violates law or third-party rights.
We may suspend or terminate accounts that violate this section.
7. DMCA & copyright
We respect intellectual property rights and comply with the US Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe content on the Service infringes your copyright, send a written notice to gridlineoperations@outlook.com with the subject “DMCA Notice” that includes:
- Your physical or electronic signature.
- Identification of the copyrighted work.
- Identification of the allegedly infringing material and a URL or location.
- Your contact information (name, address, phone, email).
- A good-faith statement that the use is not authorized.
- A statement, under penalty of perjury, that the information is accurate and that you are authorized to act.
We will respond to complete notices in accordance with the DMCA. Repeat infringers will have their accounts terminated. Counter-notices should follow the same address.
8. Third-party services & integrations
The Service integrates with third-party tools (Stripe, weather providers, drawing tools, AI providers). Your use of those services is governed by their own terms and privacy policies. GridLine is not responsible for third-party services.
9. Construction-specific disclaimers
Important — please read.
The Service provides software tools to help you manage construction operations. It does not provide engineering, architectural, legal, accounting, safety, or code-compliance advice, and it is not a substitute for licensed professionals or applicable building codes and safety standards.
- No liability for project delays. GridLine is not liable for schedule delays, cost overruns, liquidated damages, missed milestones, or lost profits arising from your projects or from your use of, or inability to use, the Service.
- No warranty of accuracy. AI-generated content, drawing analysis, weather data, and cost calculations may contain errors. You are responsible for verifying critical information before acting on it.
- Field-of-use. The Service is not designed for real-time control of equipment, life-safety systems, or 911/emergency dispatch.
- Insurance & bonding. Nothing in these Terms constitutes an admission of coverage or a guarantee that use of the Service satisfies any insurance, surety, licensing, or bonding requirement applicable to your business.
- Record of construction. The Service is a working tool, not the legal record for permits, inspections, or contracts. Maintain your own controlled records where required.
10. Warranty disclaimer
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” GridLine disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.
11. Limitation of liability
To the maximum extent permitted by law, GridLine’s aggregate liability under these Terms will not exceed the fees Customer paid to GridLine in the 12 months preceding the event giving rise to the claim. GridLine will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunities, even if advised of the possibility.
12. Indemnification
You will defend and indemnify GridLine from claims arising out of (a) your use of the Service in violation of these Terms, (b) your content, or (c) your violation of law or third-party rights.
13. Enterprise MSA / SLA
Enterprise customers may execute a separate Master Services Agreement, Data Processing Addendum, and Service Level Agreement. Where such an agreement exists, it controls over these Terms for the covered subscription. Contact enterprise sales.
14. Governing law & disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, and you consent to that jurisdiction. Nothing here prevents either party from seeking equitable relief for IP violations in any competent court.
15. Changes to the Service or Terms
We may modify the Service or these Terms. Material changes will be posted here and, where required, notified to admins by email. Continued use of the Service after changes take effect constitutes acceptance.
